Appendix 2

Perkbox Rewards Programme Terms and Conditions

  1. These terms applicable to Perkbox Recognition Programme, specifically the Rewards Programme (“Rewards”) only. This Appendix 2 forms part of and is subject to the terms and conditions of the Perkbox Standard Terms and Conditions of Supply. Words and phrases defined in the Perkbox Standard Terms and Conditions of Supply shall be given the same meaning in this Appendix 2 except where stated.
    1. Rewards is an additional feature to the Perkbox Recognition Programme. This allows the admin or manager of a Customer account access to a Reward Wallet on the Perkbox Platform. Admins and managers can add points to the Reward Wallet via a credit card purchase or bank balance transfer. Once purchased, the points convert to points which can be used on the Perkbox Platform (“Reward Points”). The Customer should make sure that it has read and accepted any credit card terms and conditions along with any other terms, conditions and policies carefully before making a purchase.
    2. The Customer may hold either admin or manager access. Customers with admin or manager access may then allocate Reward Points to managers who can then give Reward Points to their End Users of the Perkbox Platform.
    3. The Customer agrees and acknowledges:
      1. That use of the Rewards constitutes acceptances of these terms. Any other Programmes not related to the Rewards are subject to the relevant Perkbox Standard Terms and Conditions of Supply or Perkbox End User Terms and Conditions as applicable.
      2. We reserve the right to deactivate dormant End User accounts which have not been used for at least 6 months.
      3. Any unused End User Reward Points will expire within 12 months of having been issued. Promotional Reward Points offers may have a shorter expiry; such expiry dates will be communicated to the Customer at the time of purchase or via email.
      4. Upon deactivation of the Customer account for any reason, any Reward Points will be forfeited and the Customer or an End User will no longer have access to the historical Reward Points on the account.
      5. Perkbox may update and change features of Rewards from time to time to reflect the changes to the functionality of the Rewards, the needs of our users, our business practices and for reasons related to changes in laws and regulations. We will try to give you reasonable notice of any such material changes.
      6. Continued use of Rewards will mean that you have accepted the changes.. If you do not agree to such changes, should stop using the Rewards immediately and contact us.
      7. Perkbox may amend these terms from time to time. We recommend that you check these terms periodically on the Perkbox Website to ensure you understand the current terms.
    4. Registration and Access
      1. Rewards is only available to the Customer. Perkbox relies on the details provided by the Customer of their End Users. So please take the time to ensure these are accurate and complete.
      2. Perkbox requires Two Factor Authentication for the verification of Customers with admin or manager access which requires the inputting of a mobile phone number to verify the identity of the Customer.
      3. The Customer must ensure that its authorised users will at all times keep their log-in information confidential and will not allow anyone else to use their personal log-in details. Perkbox has the right to disable any user identification code or password, at any time, if in our reasonable opinion that an authorised user or an End User has failed to keep their personal log-in details secure.
      4. Perkbox does not guarantee that our Website or App or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Website for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
    5. The Reward Points - Balance
      1. Each purchase of Reward Points added to the Reward Wallet will attract service fees which will be in addition to the Charges “Service Fees”. We refer you to our Service Fees document for those fees. This can either be found in the admin space on the Perkbox Platform or upon request.
      2. Service Fees may be amended from time to time by Perkbox. We will use reasonable endeavours to provide Customers with reasonable notice of any such change in Service Fees prior to implementing.
      3. The Customer can to top up the Reward Wallet via two methods:
        1. The admin or manager may purchase Reward Points via credit card. These Reward Points may then be allocated to managers. The Reward Points will appear immediately in the Reward Wallet after payment has been made.
        2. The admin or manager may purchase Reward Points via bank transfer. The Reward Points will appear in the Reward Wallet 3-5 working days after payment has been made.
      4. Perkbox reserves the right to reclaim or make balance adjustments accordingly where it has been established that the Reward Wallet balance has been applied in error. This will include but is not limited to transactions where the balance has not been paid by the Customer and/or where Perkbox has incorrectly applied the balance. This can include transactions which are already marked as “payable” in your account.
    6. Responsibility for operation and availability of the Reward Wallet
      1. Perkbox only operates the Reward Wallet and therefore are only responsible for its use or performance. We cannot help you with using your credit card or any bank transfers.
    7. Tax and Customs Liability
      1. You are responsible for any tax liability or implications that may arise out of or in connection with your use of the Reward Wallet in any jurisdiction. Perkbox does not provide any advice in respect of this and we disclaim all liability for advice to the extent we are lawfully able to do so.
      2. The Customer and the End Users are responsible at all times for any custom duties which may be payable for any goods purchased with Reward Points.
    8. Fraud Prevention
      1. We have the right to suspend or deactivate your account if you breach any of these terms, or if your account is used, or we suspect is being used in connection with fraudulent activity. We may also deactivate your account if we suspect that the security of your account has been compromised.
    9. Termination and Refunds
      1. Perkbox will not in any circumstances provide any refunds in respect of Reward Points purchased by the Customer to the Reward Wallet unless listed in the “Exceptions” section below, and you expressly and irrevocably waive any right to reclaim any amounts represented by the balances. Exceptions:
        1. Reward Programme is withdrawn by Perkbox in its entirety; and
        2. Perkbox unremedied material breach for failure to provide Reward Programme attributable solely to Perkbox
      2. Any Reward Points that are allocated by an admin or manager to an End User are non-refundable and you expressly and irrevocably waive any right to reclaim any Reward Points allocated to an End User. For the avoidance of doubt, the Exceptions above do not apply to Reward Points allocated to an End User.
    10. Dispute Resolution Process
      1. If you wish to raise a dispute, you must raise this with your account manager or via our Customer Happiness team on Perkbox Website or via the Perkbox App in the first instance. Should the issues not be resolved through the account manager or Customer Happiness team, the parties shall attempt to resolve the dispute through negotiations between senior executives of the parties, who have authority to settle the same.
